1.     General Terms

These Terms of Website & Service Use (“Terms of Use”) constitute a legally binding agreement made between you and Samadi Healing E.I.R.L. RUC: 20606237759, a limited liability company formed in Peru with its registered address at “Mate Wasi” building, Paradero Rumichaca (facing WiIllka T’ika hotel), Urubamba district, Cusco, Peru (“Samadi Healing”, “Samadi”, “we”, “us”, or “Company”), concerning your access to and use of the www.samadihealing.com website and its subdomains and retreats, products, services, events, accounts, tools, and other content provided by us through this Website (“Services”) regardless of the medium from which the Website is accessed by a user (e.g., via a web or mobile browser or application) or media form related, linked, or otherwise connected thereto (collectively, the “Website”). This Website is offered to you and is conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. You agree that by accessing the Website or Services, you have read, understood, and agreed to be bound by these Terms of Use, our Privacy Policy, and any other supplemental terms and conditions, rules, policies, or documents that we adopt and publish from time to time, which are hereby expressly incorporated herein by reference (which collectively constitute the “Agreement”). IF YOU DO NOT AGREE WITH THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE OR SERVICES AND YOU MUST IMMEDIATELY DISCONTINUE SUCH USE. 

2.     Privacy

Our Privacy Policy (the "Privacy Policy"), explains our collection, use, transmission, and disclosure of your personal information provided by or collected from you. By agreeing to be bound by these Terms, you are also agreeing that you have read and understood the collection, use, transmission, and disclosure of your personal information or data as described in the Privacy Policy (and as amended from time to time). You should review the Privacy Policy before using the Service. 

3.     Right of Modification

We reserve the right to amend and revise these Terms of Use at any time at our sole discretion by posting such revised Terms of Use on the Website. Such revisions shall be effective as to you upon posting unless explicitly stated by us. It is your obligation to periodically visit our Website to review any changes that may be made to these Terms of Use. You will know if the Terms of Use has changed since the last time you reviewed it by checking the “Date of Last Update” at the top of this webpage. Your continued use of this Website following changes to these Terms of Use constitutes your agreement to the revised Terms of Use. You will be subject to and will be deemed to have been made aware of and to have accepted the changes in any revised Terms of Use by your continued use of the Website after the date such revised Terms of Use are posted. If you do not agree with any changes to the Terms of Use, you are not authorized to use our Site and your sole recourse is to not use our Website. 

4.     Eligibility

 YOU MUST BE 18 YEARS OR OLDER AND HAVE THE NECESSARY POWER AND AUTHORITY TO ACCESS OR USE THE SITE OR ENTER INTO THESE TERMS. CHILDREN UNDER THE AGE OF 18 ARE PROHIBITED FROM USING THIS SITE. Therefore, if we receive actual knowledge that anyone under the age of 18 has provided personal information to us without the requisite and verifiable parental consent, we will terminate the rights of the individual to use the Website and Services. Should you decide to participate in any Services, you must conduct research and/or consult with your physician regarding any techniques and modalities used in our Services, including, but not limited to, diets, fasting, and the use of herbal medicines or supplements, to determine 1) if you can safely participate; 2) if you need to modify any aspect of the Services in order to safely participate; and 3) if you are of sufficient psychological health to participate. 

5.     Indemnification

You agree to defend and indemnify Samadi, its affiliates, and any of their officers, directors, employees, and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties, or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by you or on your behalf; or by third parties as a result of your breach of this agreement or the documents referenced herein; or your violation of any law or the rights of a third party; or your use of this Website. 

6.     No Unlawful or Prohibited Use

The information provided on the Website is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject to any registration requirement within such jurisdiction or country. Accordingly, use of the Website is void where prohibited by law. By using this Website, you represent and warrant that your use of the Website does not violate any applicable law or regulation. You will comply with all applicable laws in accessing and using this Website. 

7.     Educational and Informational Purposes Only

Content on this Website (“Content”) may be provided in written, video, and/or audio format and is provided for the user’s convenience for informational, educational, and entertainment purposes only. The Website does not intend to provide specific financial, tax, legal, physical, or mental health, or any other professional advice whatsoever to you, or any other individual or company, through its content and must not be relied upon as such. If you register for our Services, you hereby elect to voluntarily participate in said activity, knowing that the activity may be hazardous. You hereby voluntarily assume full responsibility for any and all risk of bodily injury, death, property damage (including personal property), or loss, that may be sustained by yourself or others present during Services. You voluntarily assume all risk and full take responsibility for all effects and side-effects you may experience, and any beliefs and thoughts you may have. You expressly understand that participating in Services is at your own risk. You expressly understand and agree that under no circumstances will Samadi, its owners, members, managers, directors, officers, agents, contractors, affiliates, representatives, and partners be responsible for any loss or damage, including personal injury or death, resulting from my participating in Services. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, SAMADI’S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO SAMADI OR $5.00 (FIVE UNITED STATES DOLLARS).  CERTAIN LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. THE ABOVE DISCLAIMERS AND LIMITATIONS OF LIABILITY SHALL BE APPLICABLE NOT ONLY TO SAMADI BUT ALSO TO EACH OTHER ENTITY WITHIN ITS NETWORK AND TO ITS AND THEIR RESPECTIVE PERSONNEL. THE ABOVE DISCLAIMERS AND LIMITATIONS OF LIABILITY ARE APPLICABLE TO THE FULLEST EXTENT PERMITTED BY LAW, WHETHER IN CONTRACT, STATUTE, TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE), OR OTHERWISE. 

15.  Term and Termination

THESE TERMS OF USE SHALL REMAIN IN FULL FORCE AND EFFECT WHILE YOU USE THE WEBSITE. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, SAMADI RESERVES THE RIGHT TO, IN ITS SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION. SAMADI MAY TERMINATE YOUR USE OR PARTICIPATION IN THE WEBSITE WITHOUT WARNING, IN ITS SOLE DISCRETION FOR ANY OR NO REASON. We may suspend your use of the Website and Services at any time and for any reason, including if we have reason to believe that there is likely to be any breach of security or misuse of the Website or Services, or if you breach any of your obligations under these Terms of Use or the Privacy Policy, or for no reason whatsoever. We may terminate these Terms of Use at any time without notice to you if we believe, in our sole discretion, that you have breached, or may breach, any term or condition of these Terms of Use, or for our convenience. Termination of these Terms of Use does not affect rights or liabilities, which may have accrued or become due prior to the date of termination or the coming into, or continuance in, force of any provision which is expressly or by implication intended to come into or continue to be in force on or after termination. We reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress. 

16.  Notices

All notices, requests, demands, and other communications under this Agreement shall be in writing and properly addressed as follows:

Samadi Healing E.I.R.L., “Mate Wasi” building, Paradero Rumichaca (facing WiIllka T’ika hotel), Urubamba district, Cusco, Peru.

17.  Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Peru, excluding its conflicts of law rules. A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. 

18.  Dispute Resolution

The Parties shall strive through friendly consultations to settle any dispute, controversy, or claim arising out of or relating to this Agreement, including any question regarding its existence, validity, breach, or termination. In case no settlement can be reached through consultations within one (1) month of the submission of such matter by one Party to the other, these disputes, controversies, or claims shall be referred to and finally resolved by arbitration seated in Lima under the Arbitration Rules prescribed under the Peruvian Arbitration Law ("PAL") at the time in force (the “PAL Rules”). The language of the arbitration shall be English. The arbitration shall be final and binding on the Parties, and judgment thereon may be entered in any court having jurisdiction thereof or having jurisdiction over either of the Parties or their assets. Each party shall pay all costs and expenses incurred or to be incurred by it in negotiating and in arbitration. A person who is not a party to this contract has no right under the PAL and PAL Rules to enforce or enjoy the benefit of any term of this Agreement. 

19.  Miscellaneous

The subject headings of the paragraphs and subparagraphs of these Terms of Use are included for convenience only and shall not affect the construction or interpretation of any of its provisions. If any term, provision, covenant, or condition of these Terms is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Terms shall remain in full force and effect and shall in no way be affected, impaired, or invalidated. These Terms of Use constitute the entire agreement between you and Samadi pertaining to the Site and Service and supersede any and all prior and contemporaneous agreements, representations, and understandings between us. No waiver of any of the provisions of this Samadi shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by Samadi.      

20.  CÓDIGO DE CONDUCTA EN CONTRA DE LA ESNNA

La explotación de seres humanos en cualquiera de sus formas, especialmente la sexual, y en particular cuando afecta a los niños, niñas y adolescentes, vulnera los objetivos fundamentales del turismo y constituye una negación a su esencia como actividad que contribuye al desarrollo de nuestro país, a la generación de mejor calidad de vida, la dignificación de la persona y la protección de los recursos naturales y culturales, siendo de vital importancia prevenir situaciones que afecten su sostenibilidad y por ende, el desarrollo humano y económico del país;

Por este motivo, amparados en instrumentos internacionales como la Convención sobre los Derechos del Niño,ratificada por Perú en 1990; la Convención Americana sobre Derechos Humanos, ratificada por Perú en 1978, la cual establece en su artículo 19 que “Todo niño tiene derecho a las medidas de protección que en su condición de menor requieren por parte de su familia, de la sociedad y del Estado”; el Convenio 182 sobre la Prohibición de las Peores Formas de Trabajo Infantil de la Organización Internacional del Trabajo, ratificado por Perú en 2001; la Declaración Estocolmo  contra la Explotación Sexual Comercial de los Niños de 1996; el Código Ético Mundial para el Turismo de la Organización Mundial del Turismo (OMT) y la Declaración de Yokohama, ambos del 2001; y el “Protocolo para prevenir, reprimir y sancionar la trata de personas, especialmente mujeres y niños, que complementa la Convención de las Naciones Unidas contra la Delincuencia Organizada Transnacional” – Protocolo de Palermo, año 2000;

Y en cumplimiento  de las disposiciones legales que sustentan la obligación del Estado peruano y de todos sus ciudadanos, de garantizar la protección y el cumplimiento de los derechos de las personas menores de edad que habitan en su territorio, tales como la Constitución Política del Perú, el Código de los Niños y Adolescentes, la Ley Nº 28950 Contra la Trata de  Personas y el Tráfico Ilícito de Migrantes, la Ley 28251 que modifica el Código Penal en temas relacionados con explotación sexual de niñas, niños y adolescentes y demás normas conexas; así como el Decreto Supremo Nº 007-2007-MINCETUR; 

Con el aval pleno de nuestro Titular-Gerente y trabajadores, formalmente declaramos que:

1.- Rechazamos la Explotación Sexual de Niñas, Niños y Adolescentes ESNNA en Perú y en el mundo, en general y en particular en su modalidad asociada a viajes y turismo, por ser una conducta que lesiona los derechos fundamentales de las personas, contraria a los objetivos intrínsecos de la actividad turística en nuestro país.

2.- Denunciamos y condenamos a quienes se valen de la actividad turística y de las instalaciones y servicios que ofrecen, para promover, facilitar o tolerar la ocurrencia de la explotación sexual de niñas, niños y adolescentes; y en virtud de lo expuesto.

3.- Suscribimos el presente Código de Conducta contra la Explotación Sexual de Niñas, Niños y Adolescentes, en el ámbito Turismo, que se regirá por las siguientes artículos:

Artículo 1.- Objeto

El presente Código es una declaración formal de libre adhesión que tiene por objeto establecer las normas de conducta para todas las personas que trabajamos en la empresa QUIPU TRAVEL  encaminadas a proteger a niñas, niños y adolescentes de toda forma de explotación sexual y de trata de personas asociada a los viajes y el turismo.

Artículo 2.- Definiciones

Para todos los efectos de este Código adoptamos las siguientes definiciones:

Niño, Niña o Adolescente.- de conformidad con el Artículo I del Título Preliminar del Código de los Niños y Adolescentes, se considera niño o niña a todo ser humano desde su concepción hasta cumplir los doce años de edad y adolescente desde los doce hasta cumplir los dieciocho años de edad.

Trata de personas.- Es aquel delito que promueve, favorece, financia o facilita la captación,  transporte, traslado, acogida, recepción o retención de otro, en cualquier lugar del país recurriendo para ello a: la violencia, la amenaza u otras formas de coacción, la privación de libertad, el fraude,el engaño, el abuso del poder o aprovechamiento de una situación de vulnerabilidad (pobreza, menor de edad, enfermedad), o la concesión o recepción de pagos o beneficios, con fines de explotación, para que ejerza la prostitución, someterlo a esclavitud sexual u otras formas de explotación sexual.

Explotación Sexual de Niñas, Niños y Adolescentes en ámbito del Turismo.- Dado por una persona o personas, quienes se trasladan desde su lugar de origen o país natal, con el objetivo de entablar contacto sexual con niñas, niños y adolescentes, de manera ocasional o permanentemente.

Artículo 3.- Obligaciones

En virtud del presente Código, las personas que conformamos esta Empresa, a fin de tomar las medidas necesarias para proteger a niñas, niños y adolescentes contra la explotación sexual, nos comprometemos a:

  • Mantener una política ética de rechazo a la explotación sexual comercial de niñas, niños y adolescentes en el contexto de los viajes y el turismo.

  • Informar y capacitar al personal sobre la política de la empresa con respecto a la prevención de la explotación sexual de niñas, niños y adolescentes en el turismo y viajes.

  • Mantener símbolos visibles que alerten a clientes y proveedores sobre la posición respecto de la explotación sexual de niñas, niños y adolescentes en el turismo y viajes.

  • Incluir una cláusula en los contratos con los proveedores de servicios turísticos en donde se declare el común rechazo a la explotación sexual de niñas, niños y adolescentes. Se usará el siguiente párrafo: “El turismo promueve una niñez y adolescencia sin explotación sexual, por lo tanto nosotros no aceptamos cualquier acto que favorezca la explotación sexual de niñas, niños y adolescentes”.
